Join us in welcoming John Carroll, CPA with Carroll & Company CPAs for our morning session as he teaches Understanding Tax Returns. Do you often get frustrated when reviewing a tax return because you just do not know where to find the information you need? Understanding how information is transferred from financial statements and presented in tax returns is critical to effectively achieving an accurate recast. This course will assist participants in understanding how to decipher and properly locate information in tax returns that is needed for recasting. Learn how to identify the tax returns for the four entities commonly encountered by an intermediary, identify the primary schedules in tax returns, explain where to begin recasting using a tax return, locate key recast items within tax returns, and compare the reporting differences of financial statements and tax returns. 3 CE hours and BCBB credit.
Our afternoon session will be hosted by Philip Stewart with Blue Sky Law. Legal Issues in Business Brokerage – This course will assist business brokers in identifying basic legal issues they may encounter in the sale of a business. After completing the course, business brokers should be able to identify types of purchases, verify the status of a business, understand the due diligence process, and more. We will also discuss the new GABB forms. This course will fulfil the GREC’s license law requirement. 3 CE hours and BCBB credit.

12:00 pm – 1:00 pm – Box lunch
1:00 pm – 4:00 pm – Afternoon Session: Legal Issues in Business Brokerage (3 CE Hours GREC [license law] and GABB)
Participants have the option of joining us for both courses (6 total CE credits), or one course (3 CE credits). Lunch will be provided.

Philip Stewart is a Senior Associate with the Transactional/Corporate Group of Blue Sky Law in Atlanta, Georgia. He received his BA in History with a minor in Spanish from Brigham Young University, then graduated magna cum laude from Walter F. George School of Law at Mercer University where he received the Faculty Award for Outstanding Achievement in Legal Writing and was a member of the mock trial team.
Philip is an active member of the State Bar of Georgia, the American Bar Association, and the Young Lawyers Division. He is also the Chairperson of the Georgia Atlanta chapter of the J. Reuben Clark Law Society.
Having been a business owner himself prior to law school, Philip has a deep appreciation for business owners and a desire to help them succeed. He has significant experience working in a variety of capacities including in-house counsel representing one of the country’s largest REITs and as a corporate transaction attorney involved in both the acquisition and sale of various companies.
He understands that oftentimes an innovative approach is needed to overcome unique challenges that a business can experience. Philip takes a practical, business-minded approach to support the needs of the businesses he represents. From initial formation of an entity to its exit strategies and winding down, he is driven to support his clients because he understands what it takes to make a company successful.
